And it is the exact opposite of the truth. If you own the copyright, you can license the game to any publisher on the market. There is no sole contractor\u2014which means the grounds for using a special procedure do not apply.<\/p>\n<p>If you are managing a game publishing project at a cultural institution, museum, local government body, or another public entity, sooner or later you will hear the question: \u201cCan we do it faster?&quot; The answer is yes\u2014but not by bypassing the procurement procedure. Faster means arranging the work in the right order so that the procedure does not derail the release schedule.<\/p>\n<p>In this article, I will explain why the two grounds most commonly cited to justify a special procedure do not apply to publishing a game, what risks arise from using them without justification, and how to structure the process from platform analysis through to publication of the contract notice. At the end, you will find a checklist\u20149 questions to ask before publishing the notice and 7 issues that a <strong>game publishing agreement<\/strong> must address.<\/p>\n<h2>Key concepts worth knowing<\/h2>\n<p>Before we get to the substance, here are a few terms that will appear in the article:<\/p>\n<table>\n<thead>\n<tr>\n<th style=\"text-align:left\">Term<\/th>\n<th style=\"text-align:left\">Meaning<\/th>\n<\/tr>\n<\/thead>\n<tbody>\n<tr>\n<td style=\"text-align:left\"><strong>Public Procurement Law threshold<\/strong><\/td>\n<td style=\"text-align:left\">From 1 January 2026, it is <strong>PLN 170,000 net<\/strong>. Below this threshold, the Public Procurement Law does not apply, but you must follow your internal regulations and the rules laid down in the Public Finance Act (<a href=\"https:\/\/www.gov.pl\/web\/uzp\/podwyzszenie-progu-stosowania-ustawy-prawo-zamowien-publicznych-i-ustawy-o-umowie-koncesji-na-roboty-budowlane-lub-uslugi\" target=\"_blank\" rel=\"noopener\">Public Procurement Office\u2014threshold increase<\/a>)<\/td>\n<\/tr>\n<tr>\n<td style=\"text-align:left\"><strong>Internal regulations<\/strong><\/td>\n<td style=\"text-align:left\">A document adopted by the contracting authority that sets out the procedures and rules for awarding contracts below the Public Procurement Law threshold. The grounds specified in it must be interpreted just as strictly as statutory provisions<\/td>\n<\/tr>\n<tr>\n<td style=\"text-align:left\"><strong>Single-source procedure<\/strong><\/td>\n<td style=\"text-align:left\">A procedure in which the contracting authority negotiates with a single selected contractor without publishing a notice. It requires strictly defined conditions to be met<\/td>\n<\/tr>\n<tr>\n<td style=\"text-align:left\"><strong>Publishing agreement (publishing deal)<\/strong><\/td>\n<td style=\"text-align:left\">An agreement between a game\u2019s creator (developer) and a publisher that governs distribution, revenue sharing, marketing, and liability<\/td>\n<\/tr>\n<tr>\n<td style=\"text-align:left\"><strong>Description of the subject matter of the contract<\/strong><\/td>\n<td style=\"text-align:left\">A document specifying what the contracting authority wants to purchase and on what terms<\/td>\n<\/tr>\n<tr>\n<td style=\"text-align:left\"><strong>Recoupment<\/strong><\/td>\n<td style=\"text-align:left\">A mechanism under which the publisher first recovers its costs (e.g. marketing and certification) from sales revenue before it begins sharing profits with the developer<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<h2>Why a contract below the threshold does not mean complete discretion<\/h2>\n<p>A contract value below PLN 170,000 net does not exempt you from following the rules. Only the source of those rules changes\u2014instead of the Public Procurement Law, you apply:<\/p>\n<ol>\n<li><strong>Article 44(3) and (4) of the Public Finance Act<\/strong>\u2014purposefulness, economy, and efficiency of expenditure<\/li>\n<li><strong>The contracting authority\u2019s internal regulations<\/strong>\u2014with specific procedures, thresholds, and grounds<\/li>\n<li><strong>Management control principles<\/strong>\u2014documentation of decisions and the reasons behind them<\/li>\n<\/ol>\n<p>Special procedures in internal regulations are usually modeled on the grounds for single-source procurement set out in Article 214(1) of the Public Procurement Law. They must therefore be interpreted just as strictly as the statutory grounds. A broad interpretation is not permitted.<\/p>\n<p>What does this mean for your project? Even if the contract for publishing the game falls below the threshold, you must identify the specific provision of the internal regulations (section, subsection, item) that justifies the selected procedure. And those grounds must match the facts.<\/p>\n<h2>Two grounds that do not apply to publishing a game<\/h2>\n<h3>The \u201cadditional supplies&quot; grounds\u2014a game is not an installation<\/h3>\n<p>Internal regulations often include grounds modeled on \u201cadditional supplies&quot;\u2014the partial replacement of products or installations already supplied, an increase in current supplies, or the expansion of existing installations.<\/p>\n<p>The problem is that a computer game is an intangible asset. It is not a product that can be replaced or an installation that can be expanded. Publishing a game on a digital distribution platform is a service\u2014not a supply.<\/p>\n<p>Even if your internal regulations do not literally use the word \u201cinstallation,&quot; check whether the grounds refer to tangible goods. If they do, they do not cover a game, application, or other digital product.<\/p>\n<h3>The \u201csole contractor&quot; grounds\u2014your IP rights are an argument against, not in favor<\/h3>\n<p>This is the most common reasoning error. It looks like this:<\/p>\n<blockquote>\n<p>\u201cWe own the exclusive rights to the game \u2192 no one else can publish it \u2192 there is only one possible contractor \u2192 we can award the contract using a single-source procedure.&quot;<\/p>\n<\/blockquote>\n<p>Article 214(1)(1)(a) of the Public Procurement Law requires all four of the following conditions to be met:<\/p>\n<ol>\n<li>There is only one contractor on the market<\/li>\n<li>The reasons are technical and objective (insurmountable)<\/li>\n<li>There is no reasonable alternative solution<\/li>\n<li>The contracting authority has not deliberately narrowed the contract parameters<\/li>\n<\/ol>\n<p>The case law of the National Appeals Chamber confirms this interpretation. In case <a href=\"https:\/\/orzeczenia.uzp.gov.pl\/Home\/PdfContent\/16258?Kind=KIO\" target=\"_blank\" rel=\"noopener\">KIO 3296\/21<\/a>, the Chamber stated that the impossibility must be insurmountable, rather than merely difficult. In turn, <a href=\"https:\/\/orzeczenia.uzp.gov.pl\/Home\/PdfContent\/18455?Kind=KIO\" target=\"_blank\" rel=\"noopener\">KIO 2493\/22<\/a> confirmed that all four conditions must be demonstrated cumulatively.<\/p>\n<p>Now reverse the logic: since <strong>you<\/strong> own the copyright to the game, you can grant a publishing license to <strong>any publisher<\/strong> on the market. By definition, there is no sole possible contractor. The contracting authority\u2019s ownership of exclusive rights is an argument <strong>against<\/strong> using the sole-contractor procedure.<\/p>\n<table>\n<thead>\n<tr>\n<th style=\"text-align:left\">Situation<\/th>\n<th style=\"text-align:left\">Is the sole-contractor procedure permitted?<\/th>\n<\/tr>\n<\/thead>\n<tbody>\n<tr>\n<td style=\"text-align:left\">An external entity owns the rights to the game and does not grant licenses<\/td>\n<td style=\"text-align:left\">There may be grounds for it\u2014an analysis is required<\/td>\n<\/tr>\n<tr>\n<td style=\"text-align:left\">The contracting authority owns the rights to the game<\/td>\n<td style=\"text-align:left\">No\u2014the contracting authority can license the game to any publisher<\/td>\n<\/tr>\n<tr>\n<td style=\"text-align:left\">The incumbent contractor \u201cknows the project best&quot;<\/td>\n<td style=\"text-align:left\">No\u2014an information advantage does not create a technical monopoly<\/td>\n<\/tr>\n<tr>\n<td style=\"text-align:left\">Only one publisher has an account on the selected platform<\/td>\n<td style=\"text-align:left\">No\u2014an account can be created, so this is not an insurmountable obstacle<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<h2>Why \u201cextreme urgency&quot; will not work either<\/h2>\n<p>Article 214(1)(5) of the Public Procurement Law provides for a single-source procedure in exceptional circumstances that the contracting authority could not have foreseen and that require immediate action. The case law of the National Appeals Chamber (including <a href=\"https:\/\/orzeczenia.uzp.gov.pl\/Home\/PdfContent\/10750?Kind=KIO\" target=\"_blank\" rel=\"noopener\">KIO 591\/19<\/a> and <a href=\"https:\/\/orzeczenia.uzp.gov.pl\/Home\/PdfContent\/2035?Kind=KIO\" target=\"_blank\" rel=\"noopener\">KIO 1415\/17<\/a>) indicates that an extraordinary event is required.<\/p>\n<p>A planned game release, a funding application deadline known in advance, or scheduled industry trade fairs <strong>do not satisfy<\/strong> the unforeseeability requirement. These are events that the contracting authority knows or should know about in advance.<\/p>\n<p>If the schedule has been delayed, check why. A delay resulting from internal organizational decisions does not create \u201cexceptional circumstances&quot; within the meaning of the provision.<\/p>\n<h2>Risks of unjustifiably using a special procedure<\/h2>\n<p>The unjustified use of a single-source procedure or a special procedure under internal regulations does not automatically result in a penalty. The order is substantive, not organizational\u2014reversing it forces changes to the description of the subject matter of the contract after the bids have been opened.<\/p>\n<h3>Step 1: finalize the list of distribution platforms<\/h3>\n<p>Before you write even a single sentence of the description of the subject matter of the contract, formally decide which platforms the game will be released on: Steam, GOG, Epic Games Store, Google Play, App Store\u2014or others.<\/p>\n<p>Why must this happen before drafting the description? Because each platform\u2019s requirements determine the content of the agreement and the contract description.<\/p>\n<h3>Step 2: analyze the platform documentation<\/h3>\n<p>For each selected platform, examine four issues:<\/p>\n<ol>\n<li><strong>Who publishes through the developer account<\/strong>\u2014the contracting authority or the publisher?<\/li>\n<li><strong>Who is responsible for compliance with the platform\u2019s policies<\/strong>\u2014for example, the <a href=\"https:\/\/support.google.com\/googleplay\/android-developer\/answer\/2491922?hl=en\" target=\"_blank\" rel=\"noopener\">Google Play Developer Program Policies<\/a> provide for the removal of apps and termination of accounts in the event of violations<\/li>\n<li><strong>Whose account receives sales revenue<\/strong>\u2014this affects the settlement model and tax obligations<\/li>\n<li><strong>Who can withdraw the title from sale<\/strong>\u2014the contracting authority should retain this control<\/li>\n<\/ol>\n<p>A realistic timeframe for this analysis is about one week.<\/p>\n<h3>Step 3: prepare a template publishing agreement<\/h3>\n<p>The agreement template should be prepared <strong>before the description of the subject matter of the contract<\/strong>, not after the contractor has been selected. This ensures that:<\/p>\n<ol>\n<li>The description reflects the actual scope of the contract<\/li>\n<li>Contractors submit bids based on known terms<\/li>\n<li>There is no need to negotiate the agreement after the award decision\u2014only the details need to be clarified<\/li>\n<\/ol>\n<p>A realistic timeframe is about two days after completing the platform analysis.<\/p>\n<h3>Step 4: draft the description of the subject matter of the contract<\/h3>\n<p>The description must be clear and exhaustive (Article 99(1) of the Public Procurement Law) and must not impede fair competition (Article 99(4) of the Public Procurement Law). For game publishing services, this means:<\/p>\n<ol>\n<li>Describe the scope of the publisher\u2019s services (distribution, marketing, technical support, localization)<\/li>\n<li>Specify the platforms\u2014but do not impose disproportionate restrictions (e.g. requiring a developer account is permissible if it is functionally necessary)<\/li>\n<li>Define participation requirements as a measurable minimum (e.g. \u201cat least 2 titles published on platform X within the last 3 years&quot;), rather than a general \u201cportfolio&quot;<\/li>\n<li>Attach the agreement template as an appendix<\/li>\n<\/ol>\n<h3>Step 5: reserve the technical team\u2019s time<\/h3>\n<p>The deadline for submitting bids continues to run regardless of whether the contracting authority has anyone available to answer contractors\u2019 questions. The questions will concern the game engine, builds, language versions, platform certification requirements, and the scope of post-release support.<\/p>\n<p>Legal counsel will answer some of the questions. Owning the IP rights does not justify a sole-contractor procedure\u2014it actually rules it out. The urgency grounds do not cover planned releases. And a description of the subject matter drafted without analyzing the platforms will need to be amended after the bids have been opened.<\/p>\n<p>Instead of looking for exceptions to the principle of competition, follow the right order: platform \u2192 agreement \u2192 description of the subject matter \u2192 procurement procedure.
