The SPA is signed, hands are shaken, champagne is poured, and the next day, there are 47 operational questions in your inbox that no one knows how to answer. Who signs contracts now? Which templates apply? Who reports to whom? How should contractors in the acquired company be accounted for?

Studies cited in Polish management literature indicate that more than half of all mergers and acquisitions destroy shareholder value. As many as two-thirds of acquisitions fail to achieve their strategic or financial objectives. In most cases, the reason is not a bad deal, but poor integration.

Closing is not the finish line. It is the point at which the transaction’s value begins either to materialize or to erode. In this article, you will find a specific plan: what legal steps to take after closing, in what order, and within what timeframes, so that your company does not lose what it has just acquired.

Key terms you need to know

Before we move on to the specifics, let us clarify the terminology. The following terms come up in every discussion about post-transaction integration.

Term

What it means

Closing

The point at which the transaction is completed, documents are signed, shares are transferred, and the purchase price is paid. This collision creates problems in three areas at once.

1. Fragmented responsibilities and inconsistent management authority. Who makes the decisions? The existing management board of the acquired company, the new owner, the PMI lead, or the group CFO? Without a clear allocation of roles, decisions become stalled or, worse still, several people make them in parallel, pulling in conflicting directions.

2. Different documentation standards. The acquiring company has its own contract templates, policies, and regulations. The acquired company has its own. After closing, no one knows which ones apply. Powers of attorney have expired or have not been updated. Document workflows are inconsistent.

3. SPA obligations that exist on paper but have not been converted into tasks. An 80-page SPA contains dozens of post-closing obligations: amendments to the National Court Register, updates to the Central Register of Beneficial Owners, notifying counterparties, and obtaining corporate approvals. Without a schedule and designated owners, these obligations remain “up in the air”, until someone forgets about them or misses a deadline.

The real consequences of having no integration plan

A lack of structured post-closing legal integration leads to measurable losses.

Risk area

What happens

Potential consequence

SPA breach

Post-closing obligations are not implemented on time

Contractual claims by the other party to the transaction (breach of covenants)

Management board liability

Decisions are made without clear corporate governance

Personal liability of management board members under Article 293 or 483 of the Polish Commercial Companies Code

Tax risks

Unstructured intra-group relationships

Transfer pricing challenges and the risk of prohibited intra-group aid

Erosion of deal value

Delayed integration and failure to realize synergies

Lower return on investment and a longer time to achieve the transaction’s objectives

Loss of stakeholder confidence

No clear communication of changes

Counterparties, financing banks, and managers lose confidence in the company’s stability

The longer post-closing chaos continues, the more slowly the organization achieves the business objectives for which the transaction was carried out. And time costs money in M&A.

Strict legal deadlines after closing, compliance checklist

Several statutory deadlines begin to run once the transaction closes. In theory, they provide a parent company with tools to manage the group after a transaction: binding instructions, expanded supervisory board oversight, and a squeeze-out/sell-out mechanism.

In practice, market adoption of these provisions has been very limited. Commentators describe the reform as “ambitious, but ignored by the market”, mainly because of its highly formalized nature, lack of tangible benefits, and concerns about increased exposure to claims from creditors and minority shareholders (Articles 21¹³ and 21¹⁴ of the Polish Commercial Companies Code).

When is it worth considering formalizing a group of companies?

When the parent company needs a formal basis for issuing instructions to subsidiaries, for example, as part of the integration of operational processes following an acquisition.

When members of a subsidiary’s management board wish to benefit from exemption from liability for carrying out a binding instruction (Article 21⁵ of the Polish Commercial Companies Code).

When a squeeze-out of minority shareholders is planned (Article 21¹¹ of the Polish Commercial Companies Code), a parent company holding at least 90% of the share capital may compulsorily acquire minority shares.

When might formalization not make sense?

When the group operates efficiently without formal mechanisms, existing shareholders’ agreements, internal regulations, and management practices are sufficient.

When the parent company is concerned about expanded liability to the subsidiary’s creditors (Article 21¹⁴ of the Polish Commercial Companies Code, secondary liability).

When the group has minority shareholders who could bring claims for a reduction in the value of their shares (Article 21¹³ of the Polish Commercial Companies Code, limitation period: 3 years from learning of the loss, no more than 5 years from the event).

Regardless of the decision on formalization, every corporate group following an M&A transaction needs a structured corporate governance framework: an approval matrix, reporting rules, clearly defined powers of corporate bodies, and decision-making pathways. These elements can be implemented without relying on the provisions governing groups of companies under the Polish Commercial Companies Code.

Communicating changes to stakeholders, the element companies overlook

Legal integration is not just about documents and resolutions. It is also about communication. A lack of clear messaging to stakeholders following a change of ownership creates uncertainty, and uncertainty leads to a loss of trust.

Stakeholder

What to communicate

When

How

Management boards of subsidiaries

New decision-making structure, scope of authority, reporting rules

Within the first few days after closing

Meeting + written confirmation of the new rules

Managers and employees

Change of ownership, impact on employment conditions, integration plans

30 days before the transfer of the undertaking (if applicable) or immediately after closing

Internal announcement + Q&A session

Counterparties with a change of control clause

Change of control, confirmation that the business relationship will continue

In accordance with contractual deadlines (usually 14 to 30 days)

Formal letter + personal contact with the relationship manager

Banks and financing institutions

Change of ownership, impact on financing terms

In accordance with the terms of the loan agreements

Formal notification + meeting with the bank relationship manager

Minority shareholders

New strategy, cooperation rules, rights and obligations

Immediately after closing

Letter + possible amendments to the shareholders’ agreement

A well-prepared communication plan reduces the risk of losing counterparties, having credit facilities withdrawn, and losing managers, three things that can destroy transaction value faster than any legal error.

Contact us if you have closed a transaction and need support in planning the first steps of integration.

How we can help with post-transaction legal integration

Legal integration after an M&A transaction is not about analysis, it is about implementation. The focus is not on what is written in the SPA, but on how the new structure is supposed to work in day-to-day operations.

We support management boards, CFOs, and PMI leads in moving from a closed transaction to a well-organized business. Our support includes:

Post-closing diagnostics reviewing the SPA, identifying obligations, mapping deadlines and dependencies, and identifying critical areas.

Developing a Legal PMI Roadmap an action plan with assigned responsibilities, deadlines, and milestones.

Integration of corporate structures amendments to the National Court Register, updates to the Central Register of Beneficial Owners, and the organization of powers of attorney, the authority of corporate bodies, and decision-making rules.

Implementing corporate governance across the group a corporate approval matrix, reporting rules, and shareholder oversight.

Standardization of documentation standardizing contract templates, policies, and procedures across group companies.

Support in communicating changes preparing notifications for counterparties, banks, minority shareholders, and teams.

Group reorganization simplifying the structure, eliminating unnecessary entities, and shortening decision-making pathways (with a parallel tax analysis).

We work with the realities of the transaction, we do not create documents “just in case”, but design rules where risk or value actually arises.

Summary: the 90 days that determine deal value

Closing opens a window in which transaction value either materializes or erodes. The first 90 days after closing are the period in which the absence of a legal integration plan creates chaos that is more costly than the due diligence itself.

Three things you need to do immediately after closing:

Review the SPA and identify all post-closing obligations, convert them into specific tasks with deadlines and owners.

Develop a Legal PMI Roadmap, a legal integration schedule with priorities, milestones, and checkpoints.

Ensure that changes are communicated to stakeholders, counterparties, banks, employees, and minority shareholders.

If you have closed a transaction and are wondering where to begin the integration process, get in touch with us. We will help you identify critical areas and plan the first steps.

Frequently asked questions

We closed the transaction a month ago, is it too late to organize the legal integration?

No. One month after closing is still a good time to launch a diagnostic review and develop a plan. It is more problematic if six months have passed and the SPA obligations have not been implemented, the risk of contractual claims then increases. Regardless of how much time has passed, start by reviewing the SPA, identifying outstanding obligations, and setting priorities. Better late than never.

Our SPA is 80 pages long, how do we identify specific post-closing obligations?

Focus on the following sections: post-closing covenants, conditions subsequent, indemnification obligations, reporting obligations, and schedules/annexes. Break each obligation down into three elements: what needs to be done, by when, and who is responsible. It is worth preparing a table of post-closing obligations with the following columns: description of the obligation, deadline, owner, and completion status.

Who in the organization should own the legal integration process?

It depends on the scale of the transaction. In smaller deals, the owner may be the CEO or CFO. In larger transactions, it may be a designated PMI lead or Head of Legal. Regardless of who coordinates the process, the management board must have an up-to-date overview of progress and bottlenecks. Legal integration is not a task for one person, it is a project that requires cooperation between the legal, finance, HR, and operational teams.

Do we have to standardize all agreements and documents immediately?

No. Standardizing documentation is a phased process. Start with the highest-risk agreements: agreements with counterparties containing change of control clauses, intra-group agreements (loans, services, licenses), and employee documentation. You can standardize commercial contract templates, internal policies, and regulations over the following months, provided that you have a plan and schedule.

Is it worth formalizing a group of companies under the new provisions of the Polish Commercial Companies Code?

It depends on your situation. Formalization (a resolution on participation in the group + registration with the National Court Register) provides access to binding instructions and an exemption from liability for the subsidiary’s management board, but at the same time exposes the parent company to liability toward creditors and minority shareholders. If the group operates efficiently without formal mechanisms, formalization may not be necessary. However, if you plan to issue instructions to subsidiaries or carry out a squeeze-out, it is worth considering.

What are the tax consequences of simplifying the group structure after a transaction?

Mergers, demergers, and contributions in kind of organized parts of an enterprise may be neutral for corporate income tax purposes, but only if the conditions of the Merger Directive are met. At the same time, a reorganization may be classified as a restructuring within the meaning of the transfer pricing regulations (a change in EBIT of at least 20% over 3 years), triggering documentation obligations. Always analyze both regimes in parallel, and consult a tax adviser about the reorganization plan before implementing it.

Plan the first steps after a Polish M&A closing: track SPA obligations, meet filing deadlines, clarify governance and coordinate employment and tax work.

[1581
1555,1556,1612,1528,1549
1208

post-3841","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-mergers-and-acquisitions","tag-corporate-governance-en","tag-corporate-law","tag-crbr-en","tag-labor-law","tag-taxes-en","specialization-mergers-and-acquisitions-ma
["GET
