And that is the first thing anyone considering one should hear.

From May 2023 to the end of April 2026, more than 7 037 applications were submitted to the register of family foundations , far more than the legislature had anticipated. Some of these foundations were established following careful analysis. Others , after a conversation at a conference, driven by the enthusiasm of a tax adviser or an article about a “tax optimisation vehicle”.

The problem is that a family foundation is a succession planning and asset protection tool , not a shortcut to lower taxes. And in 2026, an official review of the Family Foundation Act is under way, while the Ministry of Finance is explicitly signalling its intention to tighten tax regulations. The CIT amendment vetoed in November 2025 did not enter into force, but it provided a roadmap for future changes.

If you run a business, have assets spread across different areas (companies, real estate, private investments) and are thinking about the next generation , this article will help you assess whether a family foundation is right for your situation. Before you spend PLN 100 thousand on the founding fund and engage a law firm to prepare the documents.

Key terms before you continue

Before we get to the heart of the matter, here are a few terms that will appear later:

Term

What it means

Family foundation

A new legal form (since 22.05.2023) that enables succession planning, asset protection and the separation of family matters from business management

Founding fund

The minimum assets contributed to the foundation , at least PLN 100 thousand (cash, company shares, real estate)

Founder

The person establishing the family foundation , designs its rules, contributes assets and defines the group of beneficiaries

Beneficiary

A person entitled to receive benefits from the foundation , this may be a family member, the founder or a third party

Articles of association

The document defining the foundation’s operating rules , roles, powers, benefit payment rules and mechanisms for handling disputes

2026 Act review

The statutory obligation of the Council of Ministers to assess how the Act operates three years after its entry into force

Entity-based CIT exemption

As a rule, a family foundation does not pay CIT on income from permitted activities , tax only becomes due when benefits are paid

When a family foundation makes sense , and when it does not

A family foundation is not the answer to every problem faced by a business owner. Before you start analysing the regulations and costs, ask yourself one question: what is your objective?

Situations in which a foundation may be the right tool

You run a group of companies and want to reduce your operational role, but you do not have a single successor , family members have different expectations regarding the assets and the business

You own dispersed assets (companies, real estate, shares, private investments) and do not have a single structure that brings them together

You want to formally separate three roles: who manages the business, who benefits from the assets and who controls decisions

You plan to withdraw from actively running the business, but you do not want to sell it or transfer it unconditionally to your children

Some family members want to influence the business, while others expect only financial security , the absence of formal rules leads to tension

Situations in which a foundation is probably not the right choice

Your sole objective is to reduce taxes , in light of the 2026 Act review and the Ministry of Finance’s announcements, this is a risky motivation

You have a simple asset structure (one business, no real estate, no dispersed assets) , the cost of the foundation will be disproportionate to the benefits

You are not ready to discuss with your family the rules for using the assets and the roles within the business

You are looking for a quick solution , the full process, from analysis to an operational foundation, takes months, while the waiting time for registration with the Regional Court in Piotrków Trybunalski alone was approximately 14 months in 2025

How family foundation taxation works , facts instead of myths

Many tax-related misconceptions have arisen around family foundations. Such income is subject to 19% CIT. If you plan to contribute real estate to the foundation and lease it to a company in which you hold shares , calculate the implications in advance.

Deadline for registering a foundation in organisation. A family foundation in organisation must be reported to the register within 6 months of its establishment. Missing this deadline results in the retroactive loss of the CIT exemption , from the date the foundation was established, together with an obligation to pay tax and late-payment interest. With a 14-month registration waiting time in 2025, this represents a genuine procedural risk.

Hidden profits. Article 24q(1a) of the CIT Act contains an exhaustive list of transactions treated as hidden profits , such as interest on loans granted to the foundation by the founder or a beneficiary, or loans granted to a beneficiary for at least 10 years (the entire amount is treated as hidden profit). They are subject to 15% CIT regardless of the transaction’s formal designation.

2026 Act review , what is changing and why it matters

The Family Foundation Act contains a provision requiring the Council of Ministers to review its operation three years after its entry into force. Articles 24m-24n of the CIT Act provide a CIT exemption for dividends from subsidiaries and income from the disposal of their shares. However, distributions to the holding company’s shareholders are subject to the standard 19% PIT. The most effective solution is often to combine a PSH with a family foundation , with the foundation as the holding company’s owner.

Succession management (Act of 5 July 2018) applies exclusively to sole proprietorships. It ensures operational continuity following the entrepreneur’s death , for up to 2 years (with the possibility of extension to 5 years). It does not determine the final succession arrangements. It is useful as a temporary solution where the cost of a foundation would be disproportionate.

A will transfers assets directly to heirs , without a permanent management entity. Risks include fragmented ownership, disputes over the statutory reserved share and a lack of continuity in business management. The answer is more complex than marketing materials suggest.

The foundation’s liability for the founder’s obligations

Obligations arising before the foundation was established , the foundation is jointly and severally liable for them with the founder, but only up to the value of the property contributed by that founder (Articles 8(1) and 9 of the Family Foundation Act)

Maintenance obligations arising after establishment , subsidiary liability (Articles 8(2)-(3) of the Family Foundation Act)

The founder’s tax arrears , the foundation may be liable under Article 117e of the Tax Ordinance

Actio Pauliana , a genuine threat

The actio Pauliana (Articles 527-534 of the Civil Code) remains fully applicable to transfers of assets to a foundation. A creditor may request that a contribution of assets be declared ineffective if:

The founder acted in the knowledge that creditors would be prejudiced

The contribution of assets to the foundation was made without consideration , as is the case in the vast majority of situations, making it easier for the creditor to prove their case (Article 528 of the Civil Code)

Deadline for bringing an action: 5 years from the date of the transaction (Article 534 of the Civil Code)

A family foundation is not a “safe” for assets. If you have outstanding obligations or disputes with creditors, the contribution of assets to the foundation may be challenged.

Seven questions you must ask yourself before establishing a foundation

Before you engage a law firm and start preparing documents, go through this list. It is worth noting that Polish regulations do not expressly specify how to determine a foundation’s beneficial owner , the legislature has assumed that the broad definition of a trust also covers foundations, an approach criticised by commentators. This is an additional compliance issue that requires individual analysis.

How we can help

A family foundation is not simply a document to sign. It is a succession model that requires an analysis of your asset structure, discussions with your family and the design of rules intended to last for years.

Our role is to guide you through this process , from verifying whether a foundation makes sense in your situation at all, through to registration and ongoing support.

We begin with an assessment: we map your assets, identify stakeholders and compare a foundation with alternative models (a holding company, shareholders’ agreements, a will). Only after this analysis do we recommend a specific solution , and it is not always a family foundation.

If a foundation proves to be the right tool , we draft articles of association tailored to your situation, prepare the documentation, support you during registration and monitor legislative changes (including the 2026 Act review).

We combine corporate law with a business perspective , ownership structure, growth plans and family relationships. We do not implement templates. We design rules that are intended to work for your business and your family.

Write to us , we will begin with a conversation about whether a family foundation is right for you.

Discuss your situation with us

Leave your details, we’ll be in touch.

<fieldset class="hidden-fields-container">
</fieldset>

Imię i/lub nazwisko

Telefon

E-mail

Houston, mam problem...

By submitting this form, you acknowledge that the personal data you provide will be processed by Kancelaria Prawna Sawaryn i Partnerzy sp.k. to handle your enquiry and contact you about it. But it works well only when it is underpinned by a carefully considered decision , not a market trend or tax calculation.

The Act is under review in 2026. The Ministry of Finance has announced that it intends to tighten the regulations. Registration waiting times extend to more than a year. All of this means that it is worth making a decision about a foundation now , but making it consciously.

Review your asset situation. Talk to your family. Compare a foundation with the alternatives. And if you need support with this analysis , write to us.

Frequently asked questions

How do I know whether a family foundation is the right solution for my situation?
Ask yourself three questions: is your objective succession and asset protection (rather than tax optimisation alone), do you have dispersed assets requiring a single management structure, and are you ready to talk to your family about the rules for using those assets? If you answer “no” to any of them , a foundation is probably not the right tool. It is worth consulting a law firm that will compare a foundation with the alternatives (a holding company, shareholders’ agreements, a will) in the context of your specific situation.

How much does it cost to establish and maintain a family foundation?
The founding fund must be at least PLN 100 thousand. The court registration fee is PLN 500 (PLN 250 for subsequent entries). In addition, there are notarial costs (deed of establishment), legal fees (analysis, drafting the articles of association, documentation) and ongoing operating costs: full accounting records, financial statements, an audit every 4 years (or annually in certain cases), and tax returns (CIT-8FR, CIT-8, PIT-8AR). The specific amounts depend on the complexity of the assets and the number of stakeholders , it is worth estimating them before making a decision.

What will change in the regulations in 2026, and is it worth establishing a foundation now or should I wait?
An official review of the Family Foundation Act is under way in 2026 , the Ministry of Development and Technology is conducting consultations (meetings were held on 4-5 March 2026), while the Ministry of Finance is working to tighten the tax regulations. The CIT amendment vetoed in November 2025 did not enter into force, but it established the direction of future changes: a three-year lock-up on disposed assets, taxation of short-term rentals and the CFC regime. A foundation established for succession planning and long-term asset management is less exposed to the adverse effects of changes than a structure built around tax benefits. Waiting for the “final form” of the regulations may take many months , with a 14-month registration waiting time, postponing the decision also carries a cost.

After establishing a family foundation, will I still be able to control what happens to my assets and business?
Yes , the founder designs the foundation’s governing bodies and the scope of their powers. You may serve on the foundation’s management board, appoint a supervisory board that includes selected individuals, and define detailed rules in the articles of association for asset management, benefit payments and decision-making. The articles of association may also provide mechanisms for crises: a conflict between beneficiaries, a stakeholder wishing to exit, or a change of plans. The extent of your control depends on how you design the articles of association , which is why this stage requires due care.

How does a family foundation differ from a family holding company?
A family holding company (Polish Holding Company, Articles 24m-24n of the CIT Act) is a company whose shares are inherited and may become fragmented. It offers tax preferences when profits are reinvested within a corporate group (a CIT exemption for dividends from subsidiaries), but distributions to shareholders are subject to the standard 19% PIT. A family foundation has no shares , the assets remain within a single structure regardless of generational changes, while the total tax burden when benefits are paid to immediate family members is 15% (versus approx. 26-34% in a holding company). The most effective solution is often to combine both structures: the foundation as the holding company’s owner.

Does a family foundation protect assets against creditors?
Protection is limited. The foundation is jointly and severally liable for the founder’s obligations arising before its establishment , up to the value of the property contributed by that founder (Articles 8-9 of the Family Foundation Act). The actio Pauliana (Articles 527-534 of the Civil Code) remains fully applicable , a creditor may request that the contribution of assets be declared ineffective within 5 years of the transaction date. Since assets are usually contributed to the foundation without consideration, it is easier for the creditor to prove the grounds for the action. A foundation is not a tool for evading liabilities.

A family foundation in 2026 calls for an assessment of succession, tax and risk.
