A streaming platform wants to acquire it for three markets. You sit down to negotiate and discover you cannot prove that you own the rights to your own project. The director’s script? An oral agreement. The music? A friend made it as a favor. The artwork? A freelancer abroad. A seven-figure deal falls apart because three contracts are missing.

This is not an abstract scenario. Projects at the intersection of media, gaming and events involve many creative contributions: scripts, graphics, music, influencer likenesses and user-generated content. Each creates separate copyright. Without written agreements, the rights stay with the creator, even if you paid for the work. An unclear rights structure can block commercialization, including sales, licensing and distribution on VOD platforms.

This article provides an IP survival kit to help secure rights to an entertainment project before legal uncertainty blocks revenue. A license permits use within a defined scope and period. The choice determines how much control over IP you retain.

Why a TV format is not protected by itself

Many entertainment founders assume that their format, meaning a program concept, narrative structure or set of distinctive features, is automatically protected by copyright. That is a mistake.

Article 1(2¹) of the Polish Copyright Act expressly protects only the form of expression, not ideas, procedures, methods or concepts. A general idea for a TV program, game or event is not protected until expressed in a specific, individualized work.

The Warsaw Court of Appeal confirmed this in its judgment of 30 July 2018 (VI ACa 531/16), the widely discussed Polish decision that directly addressed TV formats. The court held that:

A TV format as a set of distinctive features may qualify as a work under the Copyright Act.

The idea for a program is not protected by itself. A format is a concept that must be filled with specific content.

Protecting formats as such could restrict creative freedom across entire genres.

The claim was dismissed because there was no evidence that a specific form of expression, rather than merely the subject matter, had been copied.

What this means for your project:

Project element

Protected?

How to protect it

General format concept

No

Protect it as a trade secret under Article 11 of the Unfair Competition Act, which requires steps to maintain confidentiality.

Script and dialogue

Yes

Written agreement transferring rights for all fields of exploitation.

Music, composition and recording

Yes

Separate agreements with the composer and performers.

Graphics and visual identity

Yes

Agreement with the designer or studio, with an assignment or exclusive license.

Format or event name

Conditionally

Register a trademark with the Polish Patent Office.

Production know-how

Not under copyright

Trade-secret protections and NDAs with the team and partners.

The Supreme Court has not issued a judgment or resolution that comprehensively decides whether a format as such is protected by copyright. Relying only on copyright to protect a format is therefore risky. Use a combination of agreements, trade-secret protection and trademark registration.

Who owns the IP in your project, and why the answer may surprise you

Copyright protection arises automatically, without registration or filing. A work is protected if it has an individual, creative character and is fixed in any form. Even an unfinished script, preliminary graphic or musical sketch may qualify.

This means every freelancer, creator or collaborator automatically acquires rights to their own contribution, even if the parties do not realize it.

No written agreement means the rights stay with the creator

Polish law has no “work for hire” doctrine under which an employer or client is the original copyright owner of work created during the engagement. In Poland, the creator is always the original owner of economic rights under Article 1(1) of the Copyright Act. Each transfer must be express, in writing and cover specific fields of exploitation.

The exception applies only to employees under employment contracts. Under Article 74 of the Copyright Act, economic rights to a work created as part of an employee’s duties belong to the employer if the employment agreement expressly provides for it. This exception does not cover freelancers under B2B agreements or contractors under contracts for specific work.

Comparing models: Poland, the United States and other EU countries

If your project is international, through overseas licensing, foreign partners or distribution on global platforms, understand the differences between legal systems.

Criterion

Poland

United States

Germany

Original owner of rights

Always the creator, a natural person

Employer/client under the work-for-hire model

Creator

Do rights transfer automatically to a client?

No, a written agreement is required

Yes, if work-for-hire conditions are met

No, but the employer acquires usage rights to employee works

Moral rights

Inalienable

No federal protection; depends on state law

Inalienable

Form of transfer agreement

Written, or the transfer is void

Written for work-for-hire category 2

Written

Term of protection

70 years after the creator’s death

95 years after publication for work-for-hire, or 70 years after the creator’s death

70 years after the creator’s death

Practical consequence: an agreement with a Polish creator that does not meet Polish-law requirements, for example, it is not written or does not specify fields of exploitation, does not transfer the rights, regardless of what the law of your business partner’s country provides.

Layered rights in an entertainment project

A complex creative project contains several layers of rights:

Pre-existing components: licensed music, stock graphics and templates. Users of at least one VOD platform increased from about 4 to 5 million in 2018 to 9 to 10 million in 2023. Netflix had 10.8 million users in Poland in December 2023, or 34.8% of the population. Max (formerly HBO Max) had 2.94 million and Disney+ had 3.82 million. This represents real money and real legal requirements.

Five scenarios that block commercialization, and how to avoid them

a) An influencer claims rights to a character based on their likeness

A gaming studio creates a project with an influencer and an FMCG brand. After launch, the influencer claims that a character based on their likeness belongs to them and demands a share of merchandising revenue.

How to prevent it: Obtain written consent to use the likeness under Article 81 of the Copyright Act and Articles 23 to 24 of the Civil Code. Define scope, including the game, marketing materials and merchandising, as well as term and territory. Separately address the right to create a character based on the likeness; that is not the same as consent to use a photo.

Additional issue: if AI generates the character’s likeness, Article 50 of EU Regulation 2024/1689 (AI Act) requires labeling deepfake content. Article 190a § 2 of the Polish Criminal Code penalizes creating a false likeness to cause harm.

b) An incomplete chain of title blocks licensing

A TV-format producer receives an offer to license the format in three countries but cannot close the deal because there are no written agreements with the scriptwriters and director.

How to prevent it: Before production, finalize agreements with every creator. Economic rights transfer when the work is accepted unless the agreement provides otherwise; the parties may agree on another point, such as upon payment. Without a written agreement, however, rights do not transfer.

c) Conflicting sponsor exclusivity obligations

An esports event organizer signs agreements with five sponsors without an exclusivity matrix. Two brands in the same category demand exclusivity and threaten to withdraw.

How to prevent it: Before the first sponsor discussion, prepare a matrix of excluded product categories. Set out who has exclusivity in each category, the territory and term, and what happens if obligations conflict.

d) A freelancer claims co-authorship after a project succeeds

A studio works with a freelancer under oral arrangements. After the project succeeds, the freelancer demands recognition as a co-author under Article 9 of the Copyright Act and a share of revenue.

How to prevent it: Standard freelancer agreements should expressly transfer economic copyright for all fields of exploitation. Moral rights cannot be transferred, but the creator may agree not to exercise them in a defined scope, such as not demanding name display in specified contexts.

e) A user-generated-content platform cannot monetize content

An entertainment-tech startup builds a platform for user-generated content but does not regulate the rights. It cannot monetize or license the content.

How to prevent it: The platform terms must include a license to use user content, specifying fields of exploitation, sublicensing rights and duration. Without it, commercializing UGC may infringe creators’ rights.

Checklist: what to do before your project starts generating revenue

Here is an ordered list of actions, from those to take immediately to those worth considering later.

Priority actions (must do)

Audit the project’s IP. List every work being created and map who owns the rights before signing a distribution agreement.

Adopt a standard agreement for creators and freelancers. It must expressly transfer economic copyright for all fields of exploitation. Do not rely on oral agreements or assumptions; without a written transfer, the rights remain with the creator.

Prepare a project term sheet before the first partner discussion. Specify the allocation of rights, revenue and responsibilities. Choose the IP model: assignment, exclusive license or non-exclusive license.

Obtain written likeness consents from everyone involved, including influencers, hosts and event participants. Define the scope, term and territory.

Recommended actions (should do)

Create a sponsor-exclusivity matrix listing excluded categories to avoid conflicting commitments to partners at the same event.

Commission a legal review before foreign expansion. Check that agreements are enforceable in the target jurisdiction and that the chain of title is complete. Keep in mind the difference between Poland’s assignment model and US work-for-hire.

Use a pre-production legal checklist covering IP, agreements, likeness consents and music clearance. Do not begin production until it is complete.

Address AI in the creative process. If you use AI tools to generate graphics, music or text, document the human creative contribution. Output created entirely by AI may not be protected by copyright.

Additional actions (nice to have)

Consider registering a trademark for the format or event name with the Polish Patent Office before it becomes recognizable. Registration provides protection that copyright does not provide for a name alone.

Exclude IP infringement from liability caps in agreements with contractors and partners. The value of IP may greatly exceed production-contract value, so a standard liability cap may be insufficient.

Tax considerations when working with creators: 50% deductible costs and risks

Working with creators under a contract for specific work may allow 50% tax-deductible costs under Article 22(9) of the Polish Personal Income Tax Act. Organizing that structure at the start costs a fraction of resolving the resulting chaos later.

We combine IP law with the project’s business context. We do not create documents “just in case”; we design rules where risk or value actually arises.

Our support includes:

IP audit: map creative contributions, identify rights holders and find chain-of-title gaps.

Creator, freelancer and partner agreements: negotiate all fields of exploitation, including on-demand streaming.

Structure rights and revenue: term sheets, co-production agreements and sponsor-exclusivity matrices.

Protect likeness rights: agreements with influencers and participants, including AI-generated likeness provisions.

Legal review before foreign expansion: assess enforceability in the target jurisdiction and completeness of the chain of title.

Trademark registration for format and event names.

Organize IP before you lose control of your idea

Your idea is worth only as much as the rights you can document. A format, game, event or platform may involve dozens of creative contributions, each with separate copyright. Without written agreements, an organized chain of title and a deliberate rights allocation, you risk blocking commercialization, creator disputes and lost deals.

Do not wait until a streaming platform or foreign partner asks for documentation you do not have. Organize the rights structure during pre-production, not after launch.

Frequently asked questions

Does a contract for specific work with a freelancer automatically transfer copyright to me?

No. Under Polish law, without a written copyright-transfer agreement, rights remain with the creator, even if you paid for the work. A contract for specific work governs delivery of the specified work and remuneration, but transferring economic rights requires a separate written provision specifying fields of exploitation. Without it, you have the deliverable but may not have rights to commercialize it.

Can I sell or license a format if I do not have written agreements with every creator?

Not if you lack rights to all component works. Streaming platforms and international partners require a complete chain of title. One missing agreement, for example, with a scriptwriter or composer, may block the deal. If the project is already underway, it is not too late, but audit the IP and complete missing documentation as soon as possible.

How should rights and revenue be allocated in a project combining gaming, media and influencers?

Before the first partner discussion, prepare a term sheet specifying each party’s contribution, which rights each party acquires, the relevant fields of exploitation and revenue allocation across streaming, merchandising and licensing. Also address influencer likeness rights: consent to use a likeness is not the same as transferring rights to a character based on it.

What if my project is already underway but the agreements are incomplete?

Conduct an IP audit: list all works being created and identify who owns the rights. Then complete missing agreements with creators, freelancers and partners. The longer you wait, the harder and more expensive it may be to obtain consents and transfers, particularly after the project succeeds and creators have more negotiating leverage.

Are AI-generated works protected by copyright?

Copyright protects works created by people. If AI alone creates the content, there may be no human author and copyright protection may not apply. For human-AI collaboration, assess whether the human contribution is creative and the result individualized. Document the human creative process and set clear AI-use rules in agreements with customers and partners.

Is a TV format protected by copyright?

The format itself, understood as a set of distinctive features, narrative structure or general concept, is generally not protected. Its individual elements, such as script, graphics, music and trademarks, may be protected. You may protect the general concept as a trade secret under Article 11 of the Polish Unfair Competition Act if you take steps to keep it confidential, such as NDAs with the team and partners.

A guide to securing rights in entertainment projects, including formats, creator contributions, streaming, influencers and user-generated content.

[1582
1550,1538,1543,1559
1209

post-3884","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-gaming","tag-contract-law","tag-copyright-law","tag-it-ai-and-ip-law","tag-startups","specialization-gaming-game-development
["GET
