Following an amendment, only specified entities may access the register directly, and only if additional conditions are met. This follows a 2022 judgment of the Court of Justice of the European Union, which found unrestricted access to be a disproportionate interference with the right to privacy.

Who retains direct access to CRBR?

Public authorities, including tax offices, prosecutors and courts

Obliged entities, including:

banks,

payment institutions,

insurance companies,

accounting firms

What must other entities do?

Businesses, journalists and social organizations no longer have unrestricted access. To obtain data, you must:

Submit an application for access to CRBR data.

Demonstrate a legitimate interest, for example preventing economic crime, protecting economic interests or checking a business partner’s transparency.

Wait for the application to be considered: the authority has up to 12 business days, with the possibility of an extension.

In practice, information that previously took minutes to check now requires a formal application and a wait. Adjust your onboarding, counterparty-audit and AML risk-assessment procedures to the new timelines.

How can you access CRBR data based on a legitimate interest?

If you are not an obliged entity, you must follow the application process. The steps are:

How to submit an application

Submit an electronic application to the authority that maintains the register.

Demonstrate a legitimate interest: identify the connection to preventing money laundering, terrorist financing or another prohibited act.

Meet the formal requirements: the application must state:

the applicant’s role or profession,

the applicant’s connection to the entity whose data is requested.

Deadlines and review rules

12 business days: the authority has this long to review the application. It may extend the deadline twice, by a further 12 days each time.

Confirmation valid for 3 years: after the first approval, you receive confirmation of your role or profession. It can speed up later applications, which are considered within up to 7 days, and removes the need to demonstrate the interest again.

Simplified procedure for journalists, NGOs and academia: they may access data without demonstrating the interest each time, provided their activity is connected with preventing money laundering.

The entity whose data is requested is not notified of the disclosure. The authority keeps a record of disclosures in accordance with the GDPR.

Implementation timeline

10 July 2025: the rules for the new access procedure entered into force.

July 2026: a second reform phase is planned. It would narrow the scope of data disclosed and allow access to be excluded in cases of abuse or a threat to a beneficial owner’s security.

What duties do businesses have?

Reporting a beneficial owner is not a one-off formality. The amendment strengthened the duty to keep data updated. If you operate a company, you must:

Monitor the company’s legal and organizational situation on an ongoing basis for changes affecting beneficial-owner status.

Report every change to CRBR without delay, including:

changes in the ownership structure,

changes in the management board or other bodies authorized to represent the company,

changes in control relationships between entities or individuals.

Implement internal procedures to ensure systematic checks of information submitted to CRBR.

Failure to update data, or submitting incomplete or false information, violates the AML Act and may have the consequences described below.

Penalties for incorrect CRBR data

The amendment tightened the penalties. The legislature treats CRBR duties as ongoing, and failure to meet them may have serious consequences.

Administrative penalty

Up to PLN 1,000,000 for failing to report a beneficial owner, failing to update data or providing information that does not reflect the facts.

Penalties are imposed by the National Revenue Administration.

The circumstances are considered when setting a penalty, including the type and seriousness of the violation, such as a reporting delay versus information wholly inconsistent with reality.

Personal liability

Liability does not stop at company level. A person who submits information to the register may face:

criminal liability for providing false information,

civil liability for harm caused by submitting incorrect information.

Managing CRBR therefore requires both knowledge of the rules and organizational care. Appoint a person responsible and establish a verification process before each submission.

Obliged entities must verify the data

Since 31 October 2021, obliged entities, including banks, accounting firms, insurers and other entities applying customer due diligence measures, have been required to verify CRBR data.

What does this mean in practice?

Obliged entities compare CRBR data with information obtained while working with a client.

If they find a discrepancy, such as a difference in the ownership structure or missing update, they must notify the Ministry of Finance.

Obliged entities act as a first-level oversight body, checking whether CRBR data reflects the company’s actual ownership and control structure.

This is another reason to keep CRBR data consistent with the actual situation. A bank or accounting firm may detect a discrepancy and trigger a review before you do.

Summary: what should you do now?

The CRBR amendment is more than a formal change. Restricted public access, a new access process, stricter penalties and the duty to monitor data continuously require practical steps.

Minimum implementation checklist

Check that CRBR data is current by comparing the entry with the actual ownership structure and company bodies.

Appoint a person responsible for monitoring changes and reporting updates on time.

Implement an internal procedure specifying who verifies data, how and how often.

Adjust compliance and onboarding processes to the new access timelines, including up to 12 business days for an application to be reviewed.

Plan for the second reform phase in July 2026, which is expected to further narrow the scope of disclosed data.

Do not treat these changes as a formality. Failure to meet the duties may lead to penalties of up to PLN 1,000,000 and personal criminal and civil liability.

Need help adapting your business to the applicable requirements?

Our law firm has developed a practical tool, the SiP AML system, to help businesses implement and maintain compliance with AML duties. Other entities, including businesses, journalists and social organizations, must submit an application and demonstrate a legitimate interest. This follows the 2022 CJEU judgment that unrestricted access was a disproportionate interference with privacy.

How can my company access CRBR if it is not an obliged entity? Submit an electronic application to the authority that maintains the register, demonstrate a legitimate interest, such as preventing economic crime or checking a counterparty’s transparency, and state your role or profession and connection to the entity. The authority has 12 business days to review the application and may extend the period twice by a further 12 days. After the first approval, you receive confirmation valid for 3 years; later applications may be reviewed within 7 days and do not require you to demonstrate the interest again.

What CRBR data must be kept up to date after the AML amendment? You must report without delay every change to the ownership structure, the management board or other representative bodies, and control relationships between entities or individuals. You must also monitor the company’s legal and organizational situation for changes affecting beneficial-owner status. Implement an internal procedure specifying who verifies the data, how and how often.

What penalties apply for missing updates or incorrect CRBR data? The company may face an administrative penalty of up to PLN 1,000,000, imposed by the National Revenue Administration, for failure to report a beneficial owner, update data or provide information that reflects the facts. The person submitting the information may also face criminal liability for false information and civil liability for harm caused by incorrect information. Appoint a responsible person and verify each submission because consequences may affect both the company and an individual.

What does the CRBR verification duty mean for banks and other obliged entities? Banks, accounting firms and other obliged entities compare CRBR data with information collected while working with your company. If they find a discrepancy, such as an outdated ownership structure, they must report it to the Ministry of Finance. A bank or accounting firm may therefore find a CRBR problem and trigger a review before your company notices it. Keep the register consistent with the actual facts to support smooth cooperation with financial institutions and accounting providers.

Learn who can access Poland’s beneficial-owner register directly, how others may apply, and what companies must do to maintain accurate records.

[1579
1611,1610,1448,1612
1213

post-3916","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-corporate-law","tag-aml-en","tag-beneficial-owner","tag-compliance","tag-crbr-en","specialization-corporate-law
["GET
