Choosing the wrong form may make a contract invalid. This guide explains the rules for each form, when to use it and what to watch for.

Freedom of contract: the starting point

Article 353¹ of the Polish Civil Code gives you freedom to shape a contract. As a rule, this means you may conclude a contract in any form, unless the law requires a particular form for that type of legal act.

Limits to that freedom:

The contract’s content and purpose must not conflict with the nature of the legal relationship.

The contract must not conflict with statute.

Its content must not violate the principles of social coexistence.

Decision rule: if a provision does not require a specific form, you may choose one. If it does, you must follow it or risk the contract being invalid.

Written form

Written form requires a handwritten signature below the text of the declaration of intent. Both parties must sign the contract and then exchange original signed copies.

When is a contract validly concluded in written form?

Both parties have signed by hand.

The signatures are below the contract text, not beside it or on a separate page without a reference to the text.

The parties have exchanged original signed copies.

Signing in circulation

If the parties cannot meet in one place, they can sign in circulation: the same copy, or copies, passes from one party to another. The contract is concluded only when the last party signs.

What to check when identifying the parties

Individual: include the PESEL number and place of residence.

Sole proprietor: include the NIP tax identification number and business address.

Company: check that the person signing is authorized to represent it, for example through a KRS register entry or power of attorney.

These details are essential if a problem arises with performance and you need to bring a case to court.

Documentary form and the common mistake with scans

A common situation is that parties email scans of a signed contract to each other. The result is documentary form, not written form. A scan of a signed document is not equivalent to written form.

When is documentary form sufficient?

Documentary form is suitable where the rules do not require written form or a higher form. Examples include:

Letter of intent

Non-disclosure agreement (NDA)

Preliminary agreement, if the law does not require another form

When is documentary form not sufficient?

Do not conclude the following in documentary form:

Employment contracts

Leasing agreements

Agreements transferring economic copyright; these require written form on pain of invalidity

Electronic form

Electronic form does not mean exchanging emails or confirming the contract’s content by email.

How to conclude a contract in electronic form

Prepare the document electronically.

Sign it with a qualified electronic signature.

Send it to the other party by email, through cloud storage or another digital channel.

The other party signs the document with their own qualified electronic signature.

Legal effect

A qualified electronic signature is equivalent to a handwritten signature. If a statute or contract requires written form, signing the document with a qualified electronic signature satisfies that requirement.

Notarial deed

This form requires the parties and the notary to be present at the same time and in the same place. It cannot be replaced by a remote form.

When must you use a notarial deed?

The rules require one, among other cases, for:

transferring ownership of real estate;

forming a professional partnership;

forming a limited partnership;

forming a limited joint-stock partnership;

forming a limited liability company.

Risk: if you do not use a notarial deed where one is required, the contract is invalid. No exceptions.

Written form with signatures certified by a notary

In this form, the notary does not draft the contract. The notary’s role is limited to confirming that the person signing is who they claim to be. You must appear before the notary in person.

Hierarchy of formality

Using a higher form satisfies the requirements of a lower form. The hierarchy is:

Notarial deed, the highest level

Written form with signatures certified by a notary

Written form or electronic form with a qualified signature

Documentary form, the lowest level

Example: a contract concluded as a notarial deed automatically satisfies the written-form requirement.

Written form with a date certain

Instead of a notary, a public official is present and confirms that the legal act took place on a specified date. This form is very rarely used in transactions between businesses.

Checklist: what to do before signing a contract

Check whether the contract includes or meets the following:

Check whether the law requires a particular form for this type of contract.

Identify the counterparty: collect the PESEL or NIP number and address, and verify the signatory’s authority.

Choose the right form. If in doubt, use a higher form, such as written rather than documentary form.

Do not send scans instead of originals. A scan cannot replace written form when that form is required.

Consider a qualified electronic signature. It speeds up document circulation and is equivalent to a handwritten signature.

Make sure signatures appear below the contract text, not above it or on a separate page without a link to the text.

Exchange original copies. A contract signed by only one party and not delivered to the counterparty is not concluded.

Rule: if you are unsure which form is required, seek advice before signing. The cost of advice is far lower than the cost of a dispute over invalidity.

Frequently asked questions

What is the difference between written, documentary and electronic form of a contract? Written form requires handwritten signatures from both parties below the contract text and exchange of original copies. Documentary form is a lower level of formality and includes, for example, exchanging scans by email, but does not satisfy a written-form requirement. Electronic form means both parties sign an electronic document with qualified electronic signatures; only then is it equivalent to written form.

Is a scan of a signed contract sent by email enough to satisfy written form? No. A scan of a signed document sent by email is documentary form, not written form. If a provision requires written form, for example for transferring economic copyright, a scan cannot replace it and the contract may be invalid. If written form is required, exchange original copies signed by hand or use qualified electronic signatures.

When is a qualified electronic signature equivalent to a handwritten signature? A qualified electronic signature is equivalent to a handwritten signature whenever you use one. If a statute or contract requires written form, signing the document with a qualified electronic signature satisfies that requirement. In practice, this means you can sign remotely without printing or exchanging paper copies while preserving legal effect.

When can using the wrong form make a contract invalid? Invalidity may result where a provision requires a particular form on pain of invalidity. For example, transferring ownership of real estate and forming a limited liability company, limited partnership, professional partnership or limited joint-stock partnership require a notarial deed, while transferring economic copyright requires written form. If you use a lower form than required, such as sending a scan instead of an original or omitting the notary, the contract is invalid, with no exceptions.

What should I check before signing a contract with a counterparty to avoid later problems? Check whether the law requires a particular form for that type of contract, and use a higher form than the minimum if in doubt. Identify the counterparty: collect a PESEL or NIP number and address, and for a company verify that the signatory is authorized to represent it, for example through a KRS entry or power of attorney. Make sure signatures are below the contract text and that original copies have been exchanged. A contract signed by only one party and not delivered to the other party is not concluded.

A guide to written, documentary and electronic contracts in Poland, plus notarial deeds, notarized signatures and the date-certain form.

[1584
1530,1557,1550
1214

post-3961","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-contract-law","tag-b2b-agreement","tag-contract","tag-contract-law","specialization-contract-law
["GET
