conversion is only the beginning

After acquiring a company, due diligence findings, SPA obligations, documents that need changing, old powers of attorney and decisions remain – and they must be assigned to the right people.

Most common problems / challenges

“so how are we supposed to do this now?”

Before closing, signing the agreement matters most. Some issues are consciously left for later. After the transaction someone must return to them and tell the team what to do differently.

“Who signs this agreement now?” Until now it was clear whom to go to with it. Now the question arises whether consent from the new owner, a resolution or another power of attorney is still needed. The document goes to yet another person, and the client follows up on the deadline.

We identify whose signature and approval are needed

We review the company documents, transaction arrangements and powers of attorney. We explain who can sign the agreement and when prior owner approval or a resolution is needed. If the appropriate power of attorney is missing, we prepare one. The team receives rules for routing the next agreement to the right person straight away.
“What do we still need to do after the acquisition?” Before closing, you agreed to amend some contracts after the acquisition. Several people have worked on the documents since then, but nobody knows which matters are complete. The management board asks what is left, so you return to the due diligence report, emails and meeting notes.

We take care of the remaining tasks

We revisit the due diligence report and transaction documents. With your input, we establish which tasks are complete and which are still outstanding. We prepare a list of remaining work with deadlines and assigned responsibilities. You will know what we are taking on and what still needs action on your side.
“Who is overseeing the settlement with the seller?” We review the settlement provisions in the agreement with Finance. We check the period covered, which costs should be included and what information is still missing. We identify issues to clarify with the seller and agree with you who will lead the matter and who should approve the calculation.

We clarify the settlement rules

The settlement deadline is approaching. Finance has the figures but asks which costs to include and for what period. The agreement sets out the rules, but nobody has agreed who will resolve questions with the seller and approve the calculation before it is sent.

OUR SOLUTION

you do not have to reread the entire transaction documentation from scratch

We can start with one matter that has just stopped work. We can also review everything and prepare a plan for what remains for you to organise after closing.

We will check what remains to be done

We review the transaction documents and due diligence findings. We compare them with what has been done since closing.

We gather the remaining obligations, deadlines and missing information. That way you do not start by rereading the entire documentation just to answer one question.

  • audit
  • scope of changes

We establish what needs to change

Not everything has to be done at once.

That is why we check:

  • data in documents and contracts,
  • rules of representation,
  • powers of attorney,
  • management board duties,
  • information for clients, suppliers and partners.
  • priority list
  • change schedule

We explain who acts for the company and how

After conversion it matters that the management board has clarity on who acts for the company and in what scope.

That is why we organise this in a way that is clear for the management board and the team:

  • who actually signs contracts and documents,
  • when a management board decision is needed,
  • which matters require a formal resolution,
  • who may represent the company externally,
  • how to document more important decisions and arrangements.
  • decision map for the management board
  • clearly described roles

Aktualizujemy dokumenty

We check which documents used before the transaction can remain in place and which need to change.

We organise and prepare:

  • agreements and amendments,
  • letter templates,
  • rules and policies,
  • company details in documents,
  • footers, attachments and communications,
  • documents shared with clients and counterparties.
  • current documents
  • new agreements
  • team templates

We help explain the changes to the people affected

After the changes, we check that the right people can still act for the company and have access to what they need.

We review:

  • powers of attorney,
  • authorisations,
  • access to matters and systems,
  • the roles of people responsible for counterparty contact,
  • documents needed to act on behalf of the company.
  • completed authorities
  • refreshed access
  • new powers of attorney

We implement all of our ideas and yours, plus the documents

We do not leave you with documents alone:

  • we explain the new rules to the team,
  • we answer questions as the first matters come up,
  • we refine what needs adjustment in practice.
  • instructions
  • post-implementation support

WHO THIS SERVICE IS FOR

when after a transaction you have to answer a mass of questions

After the change the company is really only learning the new order. Old contract templates, former powers of attorney, outdated details, signing habits and decisions that someone must now assign to the right people remain in circulation. That is exactly where we take this off your hands.

Owner | CEO | Management board

You want to deliver the plan that stood behind buying the company. Instead, questions come back to you about signatures, consents, SPA obligations and things that were meant to be sorted after closing. We extract the matters that need your decision and prepare what you need to take it.

  • decision map
  • post-transaction duties
  • representation
  • documents for approval

COO | Head of Operations

You have to introduce new rules, but the company must keep serving clients the whole time. You must explain to the team what is changing, from when, and what to do on the next contract, order or approval request.

  • current templates
  • organised document flow
  • rules for the team

CFO | finance | administration

Deadlines and settlements from the transaction agreement land on your desk. We will help check what its clauses require, what information to prepare and which doubts to clear before sending a settlement.

  • data in circulation
  • powers of attorney
  • financial documents

Legal | in-house | person responsible for documents

Day-to-day matters have not disappeared, and post-transaction topics have been added. We will agree which ones we take over. You can entrust us with preparing documents, carrying out due diligence corrections or helping introduce rules in the team.

  • implementation plan
  • order in the structure
